Our client, a leading organisation within the iGaming and online entertainment industry, is seeking an experienced and business-savvy Corporate Legal Counsel to join their Legal team in Cyprus.
This role is ideal for a commercially minded lawyer with strong experience in corporate law, corporate governance, corporate structuring, legal due diligence, statutory compliance, and multi-jurisdictional corporate matters.
The successful candidate will act as a trusted legal advisor to senior leadership and internal stakeholders, ensuring that business operations comply with relevant laws, regulations, governance frameworks, and statutory obligations.

Key Responsibilities
As the Corporate Legal Counsel, you will be responsible for:
Providing legal support to various entities across the group, with a primary focus on corporate governance, corporate structuring, and strategic corporate matters
Advising on corporate governance matters, including supporting Boards of Directors and Board Committees
Preparing board and shareholder documentation
Maintaining corporate records and ensuring compliance with applicable corporate governance frameworks, statutory obligations, and regulatory requirements
Managing the group’s corporate housekeeping function
Maintaining statutory registers, corporate records, minute books, and related company documentation
Ensuring the timely completion of corporate actions, filings, and ongoing compliance obligations across multiple jurisdictions
Liaising with corporate service providers, company registries, and regulatory authorities, including the Cyprus Registrar of Companies
Supporting incorporations, restructurings, corporate changes, statutory filings, certifications, and corporate administration matters
Drafting, reviewing, and managing a wide range of corporate documentation
Preparing board and shareholder resolutions, powers of attorney, constitutional documents, intercompany agreements, financing documents, loan agreements, share issuances and transfers, capital reorganisations, and other corporate records
Supporting the establishment, maintenance, restructuring, and ongoing management of group entities across multiple jurisdictions
Planning, coordinating, and assisting with legal due diligence exercises
Supporting mergers and acquisitions, investments, financing transactions, regulatory applications, and strategic corporate initiatives
Supporting corporate transactions, including restructurings, reorganisations, joint ventures, capital raisings, and cross-border corporate projects
Providing day-to-day legal advice to group stakeholders on corporate, governance, financing, intellectual property, and general business matters
Advising on partnerships, international ventures, and corporate finance transactions
Coordinating and managing relationships with external legal counsel on jurisdiction-specific matters, corporate transactions, regulatory issues, governance matters, and legal risk management
Assisting with the development, implementation, and continuous improvement of corporate governance frameworks, policies, procedures, and internal controls
Supporting M&A activity and broader strategic projects in collaboration with senior management and other key stakeholders
What We Are Looking For
The successful candidate will have:
A Law degree, ideally an LLB; an LLM would be considered an advantage
A legal qualification preferably from a UK university
Admission to the Bar in their state or country of origin
Minimum 3 years’ post-qualification experience
Excellent knowledge and understanding of corporate law
Strong understanding of Registrar of Companies procedures
Experience advising on corporate governance, statutory filings, and corporate administration
Strong drafting, reviewing, and document management skills
Fluency in English, both written and spoken
Strong attention to detail
Excellent organisational skills
A pragmatic approach to legal risk management
The ability to work effectively in a fast-paced and dynamic environment
Strong communication skills and the ability to advise senior stakeholders clearly and commercially
Advantageous Experience
The following would be considered an advantage:
An LLM or further postgraduate legal qualification
Experience working in a regulated industry
Experience within iGaming, online gaming, betting, casino, or gambling
Licensing experience
Experience supporting multi-jurisdictional corporate matters
Experience supporting M&A transactions, restructurings, joint ventures, or capital raisings
Experience working with corporate service providers and external legal counsel
Experience liaising with company registries and regulatory authorities
